1. Recital

This agreement is established to define the comprehensive service framework of AA&CC Co., Ltd., which includes ERP services, SaaS, AI Chatbots, Project Management Systems, Event Management Systems, and Custom Development. The purpose is to ensure high-quality, secure services compliant with Thai laws.

2. Definitions

  • SaaS: Software-as-a-Service delivered via cloud infrastructure on a monthly or annual fee basis.
  • ERP Implementation: Consultation, design, deployment, training, and support for ERP systems.
  • Customized Development: Tailored system or module development as per client requirements.
  • Personal Data: Information as defined by the Personal Data Protection Act B.E. 2562 (PDPA).
  • Support: Assistance, troubleshooting, and post-sales service via defined support channels.

3. Scope of Services

Service details are listed in Annex 3, including ERP setup, SaaS hosting, AI chatbot development, website creation, event registration systems, and specialized software development.

4. Payment Terms

  • Clients must pay within 7 or 15 days as specified in the quotation.
  • Late payments are subject to a maximum interest rate of 1.25% per month.
  • Services may be suspended if payment is delayed over 15 days.
  • Clients may dispute invoices within 7 days of receipt.

5. PDPA Compliance

AA&CC collects, uses, and discloses personal data with clear consent and appropriate safeguards. Clients have the right to access, edit, or withdraw consent at any time. Full details are in Annex 2.

6. Intellectual Property

Any deliverables paid in full shall be the client’s property, except for core SaaS infrastructure which remains the intellectual property of AA&CC.

7. Service Level Agreement (SLA)

Refer to Annex 1 for SLA details.

8. Termination

Either party may terminate the agreement if the other fails to remedy a breach within 30 days of notification. No refund shall be issued for early termination.

9. Liability

AA&CC shall not be liable for indirect damages or business losses. Liability is limited to the value of the respective project.

10. Governing Law

This agreement is governed by Thai law. Disputes shall be settled by the Khon Kaen Provincial Court.
